Terms of Service

ContextEngine Limited ("Company", "we", "us", or "our") is a company registered under the laws of the Republic of Kenya. These Terms of Service ("Terms") govern your access to and use of ContentHub, our document intelligence platform ("Service").
By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.
1. Definitions
- "User" means any individual or entity that accesses or uses the Service.
- "Workspace" means the organizational account created by a User to access the Service.
- "Content" means any documents, files, data, or information uploaded, stored, or processed through the Service.
- "Personal Data" has the meaning ascribed to it under the Kenya Data Protection Act, 2019.
2. Acceptance of Terms
By creating a Workspace or using the Service, you confirm that:
- You are at least 18 years of age;
- You have the legal capacity to enter into binding contracts;
- You are authorized to bind the organization you represent (if applicable);
- Your use of the Service does not violate any applicable laws of Kenya or your jurisdiction.
3. Description of Service
ContentHub is a document intelligence platform that provides:
- Document management and storage;
- Optical Character Recognition (OCR) and text extraction;
- AI-powered document classification and tagging;
- Full-text search and retrieval;
- Approval workflow automation;
- Integration with third-party services.
4. User Accounts and Security
4.1 Account Registration
To use the Service, you must create a Workspace by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials.
4.2 Account Security
You agree to immediately notify us of any unauthorized use of your account, ensure that you log out at the end of each session, not share your account credentials, and use strong passwords with multi-factor authentication where available.
5. Acceptable Use Policy
You agree NOT to use the Service to upload unlawful or harmful content, violate any applicable laws of Kenya including the Computer Misuse and Cybercrimes Act 2018, infringe intellectual property rights, upload malware, attempt unauthorized access, or store content that violates the Kenya Data Protection Act 2019.
6. Content Ownership and License
You retain all ownership rights to the Content you upload. By uploading Content, you grant us a limited, non-exclusive license to store, process, and display the Content solely for providing the Service. The Service itself is owned by ContextEngine Limited and protected by Kenyan and international intellectual property laws.
7. Data Protection and Privacy
We process Personal Data in accordance with the Kenya Data Protection Act, 2019 and our Privacy Policy. ContextEngine Limited is the Data Controller. Where we transfer Personal Data outside Kenya, we ensure appropriate safeguards as required by Section 48 of the Data Protection Act, 2019.
8. Payment Terms
Subscription fees are quoted in Kenya Shillings (KES) unless otherwise specified, inclusive of applicable taxes. We accept M-Pesa, bank transfer, and major credit/debit cards. Refunds may be issued within 14 days of purchase in accordance with the Consumer Protection Act of Kenya.
9. Service Availability
We strive to maintain 99.9% uptime. Technical support is available at support@contextengine.tech during business hours (Monday to Friday, 8:00 AM to 6:00 PM East Africa Time).
10. Limitation of Liability
The Service is provided "AS IS" without warranties. We shall not be liable for indirect, incidental, or consequential damages. Our total liability shall not exceed the amount paid in the 12 months preceding the claim.
11. Termination
You may terminate your account at any time by contacting support@contextengine.tech. We may suspend or terminate access for breach of these Terms. Upon termination, Content is retained for 30 days then permanently deleted.
12. Dispute Resolution
These Terms are governed by the laws of the Republic of Kenya. Disputes shall be resolved through arbitration in accordance with the Arbitration Act, 1995 of Kenya, with the seat in Nairobi.
